How to Approve HOA Meeting Minutes (the Right Process)

Minutes aren't official until the board approves them. Approval is a quick, routine agenda item — but doing it correctly is what turns a draft into the association's legal record. Here's the right process.

When minutes get approved

Minutes are approved at the next board meeting after the one they document. The board reviews the prior meeting's draft and formally adopts it. (For why this matters, see draft vs. approved minutes.)

The approval process, step by step

  1. Distribute the draft in advance. Board members should have read it before the meeting, so approval doesn't require reading it aloud.
  2. Reach the agenda item. "Approval of minutes" typically comes right after call to order.
  3. Call for corrections. The chair asks if there are any corrections to the draft.
  4. Make the motion. A member moves to approve the minutes — either "as written" or "as amended" if corrections were noted. Another member seconds.
  5. Vote. The board votes; a majority approves. (See Robert's Rules for HOA meetings.)
  6. Record it. Note in the current meeting's minutes that the prior minutes were approved (as written or as amended).

Handling corrections

  • Minor corrections (a date, a name, a vote count) are stated, agreed to, and the minutes are approved "as amended."
  • No formal re-vote on each fix is needed for routine corrections — the chair can incorporate agreed changes and approve as amended.
  • Substantive disputes about what happened may need discussion, but remember: minutes record decisions, not debate, so most corrections are quick.

What to do once approved

  • Remove the "DRAFT" label.
  • Record the approval date.

Common mistakes to avoid

  • Editing approved minutes after the fact — instead, correct them with a new motion to amend at a later meeting.
  • Treating an unapproved draft as the official record.
  • Forgetting to note the approval (and any amendments) in the current minutes.
